Rent To Buy Business Website Terms and Conditions Agreement.
1. Service Overview:
PerfectRange Ltd will provide web design services to the client as outlined in the agreed-upon project proposal to build a business website.
2. Payment Structure:
The client agrees to pay a one-time set-up fee as currently shown on this checkout for website services rendered. This fee is a separate charge from the monthly payments and will be paid upon agreement execution.
Monthly payments as currently shown on this checkout will be invoiced separately and are due on the same date as this purchase each month for a period of 12 months.
The website build will commence only after the one-time set-up fee has been paid in full, and this agreement has been agreed by you the client.
In the event of a failure to make a monthly payment, the client will be notified, and a grace period of 14 days from the payment due date will be granted. If payment is not received within this period, PerfectRange Ltd reserves the right to temporarily take down the website(s) until payment is confirmed.
3. Project Timeline:
PerfectRange Ltd will provide an estimated project timeline. Delays may occur due to unforeseen circumstances or client-requested changes.
4. Client Responsibilities:
The client is responsible for providing all necessary information and materials such as images, videos, written content and approvals in a timely manner to facilitate the project's progress. The client affirms that they have the legal right to use and license the provided content and that it does not infringe upon the intellectual property rights of any third party.
PerfectRange Ltd is not responsible for verifying the legality or licensing of the client-provided content. The client assumes full responsibility for any legal consequences arising from the use of such content.
If PerfectRange Ltd provides any content, it will be sourced from free image, video, or AI content generation websites unless otherwise stated. Any premium content provided by PerfectRange Ltd will be subject to separate charges.
5. Revisions and Changes:
PerfectRange Ltd will provide 2 rounds of revisions. Additional revisions or major changes requested by the client may incur additional charges.
6. Ownership and Intellectual Property:
Upon full payment, the client will own the final website design. Until then, PerfectRange Ltd retains ownership and intellectual property rights.
7. Search Engine Optimisation (SEO):
PerfectRange Ltd will implement basic on site SEO practices to enhance the visibility of the website on search engines.
Basic SEO practices may include keyword optimisation, meta tag optimisation, and other fundamental on-page SEO techniques.
PerfectRange Ltd does not guarantee specific search engine rankings or continuous SEO performance. Search engine algorithms are subject to change, and PerfectRange Ltd cannot be held responsible for fluctuations in rankings.
Any additional or advanced SEO services beyond the basic practices can be provided at an additional cost, as mutually agreed upon by both parties.
8. Termination:
Either party may terminate the agreement with written notice if the other party breaches the terms. In the event of termination, the client remains responsible for any outstanding payments.
9. Domain Name, Hosting, and Maintenance:
As part of the 12-month rental plan, PerfectRange Ltd will provide the client with a domain name and hosting services for the duration of the agreement.
PerfectRange Ltd will handle the setup and initial configuration of the domain and hosting.
Ongoing maintenance and updates of up to 1 hour per month if needed to ensure the proper functioning of the website are included during the 12-month period.
The client acknowledges that, upon the completion of the 12-month period, additional fees may apply for continued hosting and maintenance services if they choose to renew.
10. Confidentiality:
Both parties agree to keep confidential any proprietary or sensitive information shared private.
11. Limitation of Liability:
PerfectRange Ltd is not liable for any direct or indirect, consequential, or incidental damages arising from the use of the website or services provided.
12. Third-Party Services:
PerfectRange Ltd may utilise third-party services, plugins, or tools to enhance the functionality of the website. The client acknowledges that the availability and performance of these third-party services are beyond PerfectRange Ltd's reasonable control.
In the event that any third-party service becomes unavailable or experiences disruptions, PerfectRange Ltd will make reasonable efforts to address the issue promptly. However, PerfectRange Ltd shall not be held responsible for any loss, damage, or inconvenience caused by the unavailability or malfunction of third-party services.
The client understands that the terms and conditions of third-party services are governed by the respective service providers and agrees to comply with those terms.
PerfectRange Ltd will communicate with the client regarding any significant impact on the project due to the unavailability of third-party services and will work together with the client to find suitable alternatives.
13. Governing Law:
This agreement is governed by the laws of the United Kingdom.
14. Miscellaneous:
Any changes to this agreement must be in writing and agreed upon by both parties.
15. Severability:
If any provision of these terms and conditions is held to be invalid, unenforceable, or illegal for any reason, the remaining provisions will nevertheless continue in full force.
The parties agree to replace the invalid or unenforceable provision with a valid and enforceable provision that most closely matches the intent of the original provision.
The invalidity or unenforceability of any provision will not affect the validity or enforceability of the remaining provisions.
16. Additional Services or Package Changes:
The client may request additional services or changes to the agreed-upon package during the term of this agreement.
Any such requests will be subject to mutual agreement on a new pricing structure. The pricing for additional services or changes to the package will be determined based on the scope and complexity of the requested modifications.
PerfectRange Ltd will provide the client with a written proposal outlining the details of the additional services or package changes, including the associated costs and any potential impact on project timelines.
The client acknowledges that the commencement of additional services or changes to the package is contingent upon the acceptance of the proposed pricing structure and the signing of a supplementary agreement.
This agreement constitutes the entire understanding between PerfectRange Ltd and you the client.
